incorporated in the British Virgin Islands and the issued shares
of which are owned by Mr. Ma Gary Ming Fai ("Mr. Ma") has entered
into five sale and purchase agreements for the disposal of an
aggregate of 69,550,000 shares (Each a "Share") of HK$0.01 each in
the Company. Four of these sale and purchase agreements in relation
to the disposal of an aggregate of 41,550,000 Shares were
completed on 17 March 2003.
