N1 Please refer to the Company's announcement of 24 March, 2003.
N2 With effect from 24 October 2002, Professor Kou Jisong and Mr. Choi
Kwok Yat were appointed as the trustees of a fixed trust (the
"Trust") in respect of the entire issued share capital of Ultra
Challenge Limited, a company interested in 171,900,000 shares of
HK$0.025 each in China Data Broadcasting Holdings Limited (the
"Company"). Ultra Challenge Limited is the holding company of the
Company. By virtue of Mr. Choi being one of the trustees of the
Trust, he was taken to be interested in 171,900,000 shares in the
Company for the purposes of the Securities (Disclosure of Interests)
Ordinance.
On 14 March 2003, the beneficiaries of the Trust approved resolutions
to terminate the Trust and to distribute the issued shares in
Ultra Challenge Limited to beneficiaries according to their
respective entitlements. The distribution of the shares in Ultra
Challenge Limited was effected on 14 March 2003, from that date Mr.
Choi ceased to be interested in 171,900,000 shares in the Company
and ceased to be interested in any shares of Ultra Challenge Limited.
