of which are owned by Mr. Ma Gary Ming Fai ("Mr. Ma") has entered
into two sale and purchase agreements for the disposal of an
aggregate of 31,960,000 shares of HK$0.01 each in the Company.
On 4 January 2003, Upwise Investments Limited, a company
incorporated in the British Virgin Islands and the issued shares
of which are owned by Mr. Ma Gary Ming Fai ("Mr. Ma") has entered
into two sale and purchase agreements for the disposal of an
aggregate of 34,500,000 shares of HK$0.01 each in the Company.
On 6 January 2003, Upwise Investments Limited, a company
incorporated in the British Virgin Islands and the issued shares
of which are owned by Mr. Ma Ming Fai ("Mr. Ma") has entered into
a sale and purchase agreement for the disposal of 3,150,000 shares
of HK$0.01 each to the Company.

incorporated in the British Virgin Islands and the issued share
capital of which is owned by Mr. Yang Feng entered into a sale
& purchase agreement with Upwise Investments Limited for the
