NOTES
N1 Upon the completion of the extensive group reorganisation on 2nd
December, 2002, China-HK International Finance Limited ('China-
HK"), holding 10,134,375 shares in Sing Pao Media Group Limited
(Sing Pao"), ceased to be a subsidiary of China Strategic
Holdings Limited. Therefore, CSH is not deemed to have an interest
in 10,134,375 shares in Sing Pao held by China-HK.
N2 Date of transaction: 29/11/2002 & 02/12/2002.
N3 There is no change in shareholdings for the rest of the associated
companies of Convenience Retail Asia Ltd. except those indicated
in this Summaries. For the detail of their shareholdings, please
refer to the SDI Daily Summaries published on 02/02/2001.
N4 All interests of the company were sold at a total consideration of
RMB12. The transaction is subject to the approval and consent by
the relevant PRC authority. Dr. William Fung and Dr. Victor Fung
become aware on 4th December 2002 that the relevant approval
has already been obtained on 23rd August 2002, which should be
the effective date of the transaction.
N5 281,250 options at the exercise price of HK$7.18 (adjusted by the
rights issue with effect from 17 September, 2002 as disclosed in
the Company's prospectus dated 28 August, 2002) were surrendered
on 1 December, 2002.
