NOTES
N1 HSBC International Trustee Limited ceased, with effective from
24 October 2002, to be the trustee of a fixed trust (the "Trust")
in respect of the entire issued share capital of Ultra Challenge
Limited, a company interested in 171,900,000 shares of HK$0.025
each in China Date Broadcasting Holdings Limited (the "Company").
On the same date, Professor Kou Jisong, the Chairman and a
director of the Company, and Mr. Choi Kwok Yat were appointed
to be the successor trustees of the Trust. By virtue of
Professor Kou being one of the trustees of the Trust, he is taken
to be interested in 171,900,000 shares in the Company for the
purposes of the Securities (Disclosure of Interests) Ordinance.
N2 The disposal represents the transfer of the company's entire
holding to Educational Information Technology (H.K.) Company
Limited. The transfer does not affect the ultimate ownership
of the underlying shares.
