N2 The figure of the present balance of shareholdings
has been arrived at after taking into account of the
consolidation of shares of Sing Pao Media Group Limited ("Sing
Pao")(this has resulted in the decrease in the previous number
of shares held by Glory Dynamic Limited from 1,040,000,000 to
52,000,000) and the rights issue of five rights shares for every
four existing shares held of Sing Pao.
N3 The figure of the present balance of shareholdings
has been arrived at after taking into account of the
consolidation of shares of Sing Pao Media Group Limited ("Sing
Pao")(this has resulted in the decrease in the previous number
of shares held by Glory Dynamic Limited, China Pharmaceutical
Industrial Limited and Wealthy Gain Limited from
1,170,062,000 to 58,503,100) and the rights issue of five rights
shares for every four existing shares held of Sing Pao.
N4 Liu Yuan Chang has entered into a conditional Subscription
Agreement with Infoserve Technology Corp. (the "Company")
on 16th September 2002. Subject to the satisfaction of
the relevant conditions under the Subscription Agreement
and completion taking place, his shareholding interest in
the Company would increase by 6,220,000 shares after
completion of his subscription of new shares.
