NOTES
N1 Mr. Liu Changle is the beneficial owner of approximately 93.3% of
the issued shares of Today's Asia Limited, which in turn owns
approximately 37.6% of the issued share capital of the Company.
Pursuant to the share mortgage created by Today's Asia Limited
in favour of China Construction Bank, Hong Kong (the "Bank") on
27 June, 2001, 70,000,000 shares had been transferred to the
Bank and as further security for the said mortgage, an addition
of 72,000,000 shares were charged to the Bank. Accordingly there
is no change in the beneficial ownership of the said shares.
The above-mentioned share mortgage has been redeemed. Accordingly,
the 142,000,000 shares previously registered under the name of
the Bank were transferred back to Today's Asia Limited.
