N2 Liao Ko Ping and Ma Chin Jong, directors of the Company, are
interested in an aggregate of 196,433,336 shares of HK$0.10 each in
the share capital of the Company in the following manner: -
(i) 195,000,000 shares are held by Ma Chin Jong through Dynasty
Resources Limited, the entire issued share capital of which is
beneficially owned by her, after the disposal of 15,000,000
shares in total of and in the Company on 11th March 2002
by Dynasty Resources Limited; and
(ii) 1,433,336 shares are held by Liao Ko Ping personally after
his disposal of 18,770,000 shares in total of and in the
Company on 11th March 2002 as notified herein and Ma Chin
Jong is deemed, by virtue of the SDI Ordinance, to be
interested in the 1,433,336 shares.
N3 OMAX Technologies, Inc. is interested in 74,776,666 shares of
HK$0.10 each in the share capital of the Company after its acquisition
of 4,770,000 shares of and in the Company on 11th March 2002 for a
consideration of HK$954,000 and is a corporate substantial
shareholder of the Company by virtue of the SDI Ordinance.
N4 The consideration received by Liao Ko Ping in respect of each of his
aforesaid disposal as notified herein are as follows:-

the said 5,000,000 shares on 11th March 2002 for nil consideration
and, by virtue of the SDI Ordinance, Liao Chin Te is deemed to be
interested in the 5,000,000 shares.
N7 The 572,000 shares of HK$0.10 each in Satellite Devices Corporation
which may be issued to Tong Ka Ming, Patrick has been disposed to
Arcontech Corporation pursuant to a conditional form of election
dated 13 March 2002. As at the date hereof, the disposal remains
conditional.
N8 The 381,400 shares of HK$0.10 each in Satellite Devices Corporation
which may be issued to Mak Kam Wah has been disposed to Arcontech
Corporation pursuant to a conditional form of election dated
13 March, 2002. As at the date hereof, the disposal remains
conditional.
N9 The 47,238,400 shares of Satellite Devices Corporation which may be
issued to Upgrade Technology Limited (a company wholly owned by Tsoi
Siu Ching, Leo) were conditionally agreed to be disposed as part of
the placing of the shares of Satellite Devices Corporation under the
underwriting agreement dated 11th March, 2002 as summarised in the
prospectus of Satellite Devices Corporation dated 12th March, 2002.
As at the date hereof, the disposal remains conditional.
