N3 Pursuant to the completion of a reorganisation deed dated
6 September 2001 entered into between WellNet Holdings Ltd,
Mr Chan Shing, Ms Lau Ting, Mr Yu Wing Keung, Dicky and WorldMetal
Holdings Limited ("WorldMetal"), Mr Yu Wing Keung, Dicky had
transferred 75,000 shares in Harrogate beneficially owned by him to
WorldMetal in consideration for the issuing and allotting to him
23,100,000 new WorldMetal shares.
N4 These shares are acquired subject to the lock-up provisions in the
Subscription Agreement dated 23 August 2001 as disclosed in the
Prospectus of WorldMetal Holdings Limited dated 19 October 2001.
