Note:
N1 Pursuant to a stock borrowing agreement entered into betweeen
(i) Mr. Lin, a director and the substantial shareholder of
Sinotronics Holdings Limited ("the Company") and (ii) Guotai Junan
Securities (Hong Kong) Limited ("Guotai Junan"), one of the
joint-lead managers for the listing of the Company on GEM, on
16th May 2001 (being the day before the listing of the shares of the
Company on GEM), Guotai Junan borrowed 10,125,000 shares of the
Company ("Borrowed Shares") from Mr. Lin in order to facilitate the
settlement of over allocations under the share offering.
Subsequently, a notice of exercise of the over-allotment option was
issued by Guotai Junan on 8th June, 2001, informing that it would
exercise the over-allotment option in order to return the same number
of the Borrrowed Shares to Mr. Lin.
On 8th June 2001, 10,125,000 new Shares were allotted to Mr. Lin,
and Mr. Lin was registered as shareholder of these Shares on
11th June, 2001.
