company of the Issuer and Pricerite Group Limited ("Pricerite").
Allotment of 373,333,333 new shares at an issue price of HK$0.30 each
in CASH to Suffold Resources Limited as consideration for purchase of
320 million shares in Pricerite at a price of HK$0.35 per shares upon
completion of a sale and purchase agreement.
N2 435,132,000 shares in Pricerite Group were acquired by Celestial
Investment Group Ltd (a wholly-owned subsidiary of Celestial Asia
Securities Holdings Ltd) upon completion of two sale and purchase
agreements on 26/03/01.
