N1 Pursuant to a service contract dated 18 October 2000 made between Task Consultants
Limited, an indirectly wholly owned subsidiary of Soluteck Holdings Limited, and
Tam Wing Chit, Tom, he is entitled to, among other benefits, a management
bonus of HK$200,000 on completion of every 12 months of service. The management
bonus shall be satisfied by the allotment and issue, credited as fully paid, of such
number of shares (the "Remuneration Shares") (rounded down to the nearest whole
number of shares) as shall be equal to HK$200,000 divided by HK$0.40, being
the offer price per share (the "Offer Price"). In addition, Chan Shu Tak, Alex,
Yu Chak Fai, Stanley, Shiu Chi Shing, Kelvin and himself (collectively, the
"Task Management Team") are also entitled, to a performance bonus calculated by
reference to the net profits ("Net Profits") before taxation and minority
interest and the payment of such performance bonus but excluding extraordinary
and exceptional items of Task Consultants Limited for every 12 months' period
ending on 30 September during the term. The aggregate performance bonuses to
which the Task Management Team are entitled shall be 30 per cent. of the Net
Profits or if the Net Profits shall fall below HK$5,300,000, 10 per cent. of
the Net Profits provided that the amount of such performance bonuses shall not
in any event exceed tile amount of the net cash inflow from the operating
activities of Task Consultant Limited during the relevant period. The performance
bonuses (which shall be shared by the members of the Task Management Team equally)
shall also be satisfied by the allotment and issue, credited as fully paid, to
the relevant member of the Task Management Team such number of shares (rounded down
to the nearest whole number of shares) as shall equal to the applicable amount
of performance bonus divided by the Offer Price provided that the aggregate
number of shares falling to be allotted and issued to the Task Management Team
in satisfaction of the performance bonus (including all performance bonus shares
already allotted and issued) shall not exceed two per cent. of the then issued
shares (as enlarged by the issue of the performance bonus shares).
