NOTES


N1      Consolidation of Shares.

N2      Due to the capitalization and bonus shares issue, two bonus shares
        were issued for every one share.  Mr. Wu Wai Chung Michael
        was issued 1,676,000 shares.

        As a result of the above reorganization of capital structure,
        the corresponding alterations under the share option scheme of
        the Company gave Mr. Wu Wai Chung Michael the same proportion
        of the issued share capital of the Company as that to which he was
        previously entitled before such alternation.

N3      Due to the capitalization and bonus shares issue, two bonus

        under the share option scheme of the Company gave Mr. Choi Koon Ming
        Michael the same proportion of the issued share capital of the
        Company as that to which he was previously entitled before such

N4      Ho Kian Guan ceased to be a controlling shareholder of certain
        companies on 31/3/2003 through which he had a deemed interest in
        57,139,261 shares Shangri-La Asia Ltd. under the SDI Ordinance.
