NOTES
N1 Effective 29th March 2003, Cosmos Investment Inc. is taken to be
interested in the shares held by Asia Panich Investment Co. (HK) Ltd.,
Treasure Investments Inc., Man Tong Company Ltd., and Bonham Strand
Limited as it can control the exercise of one-third or more of the
voting power in general meetings of such companies.
N2 Received 16,629,000 shares in Hang Lung Group Limited by way of
distribution as a beneficiary of a discretionary trust.
N3 Pursuant to a conditional agreement dated 4 March 2003, an aggregate
of 39,500,000 shares in the capital of Jackin International Holdings
Limited will be transferred to Ho Yat Wah, Hermia after the fulfilment
of certain conditions as set out in the said agreement. Such conditions
have been fulfilled and completion of the said agreement took place
on 31st March 2003.
N4 Companion Building Material (Holdings) Limited ("CMB Holdings") is/was
interested in 1,964,446,735 shares in listed company. Such shares
have been mortgaged to Bestar Investment Limited ("Bestar") as security
for certain indebtedness owed by CBM Holdings' holding company,
Companion Building Material International Holdings Limited to Bestar.
Bestar is wholly owned by Mr. Wong Chun Mo. This disclosure is made
as a result of the release of the mortgage of shares in the listed
company by Bestar to CMB Holdings.
N5 Date of transaction: 24/3/2003 - 28/3/2003
N6 China Resources Enterprise, Ltd. and China Resources Logic Ltd. become
the associated corporation of the Company due to the increase in the
shareholding in the Co. by China Resources (Holdings) Co. Ltd on
9/10/2002. Wan Yin has knowledge of such information on 26/3/2003.
He acquired the shares in China Resources Enterprise, Ltd. and
China Resources Logic Ltd. before he was appointed as director of
the Company on 24/8/2001.
N7 Monthly contribution to HSBC Holdings UK Share Ownership Plan.
N8 Mr. Sze Man Bok, Mr. Hui Chi Lin and Mr. Yeung Wing Chun ("Vendors")
entered into an Acquisition Agreement with Hengan International Group
Company Limited (the "Company") on March 25, 2003, the Company shall
acquire from the Vendors the shareholders' loans and the entire issued
share capital of United Wealth International (Holdings) Limited. The
purchase consideration involves the allotment and issue of 20,049,505
shares of the Company at HK$2.525 per share to Mr. Sze Man Bok subject
to the approval of independent shareholders of the Company in an
extraordinary general meeting to be held on May 2, 2003.
N9 Acquisitions were made from 24/3/2003 to 28/03/2003 at prices ranging
from $0.25 to $0.265 per share.
N10 139,440,000 shares of Quality Healthcare Asia Limited were sold by
Arisaig Asian Small Companies Fund (AASCF) to Arisaig Asia Fund (AAF)
and the shares were then sold to Arisaig Greater China Fund (AGCF) by
AAF. After the transactions, AGCF is currently holding 184,836,000
shares in Quality Healthcare Asia Limited. Director of the company,
Lindsay Cooper deemed to have interest in AASCF, AAF and AGCF, thus
the transaction made no change in his ultimate share interest in
Quality Healthcare Asia Limited.
N11 Acquisitions were made from 24/3/2003 to 28/3/2003 at prices ranging
from $1.10 to $1.11 per share.
N12 4 times the "Latest Earnings Per Share" as defined in the Option
Scheme of Apple Daily Publication Development Limited ("ADPDL")
provided that in any event the amount shall not be less than the
nominal value of a share of ADPDL.

SUBSTANTIAL SHAREHOLDERS' NOTIFICATIONS REPORT

The Securities and Futures Commission has granted Manulife Financial
Corporation ("MFC") a partial exemption from compliance with the
Securities (Disclosure of Interests) Ordinance pursuant to guidelines
published under section 2A of the Ordinance. Under the partial
exemption, MFC is not required to prepare registers, maintain records
or file, and MFC's corporate insiders are not required to file, with
Hong Kong regulatory authorities disclosure of interest reports
pursuant to the Ordinance on the condition that MFC will file with
the SEHK disclosures of interests made in Canada and the U.S. where
it maintains primary listings.
1. Under Canadian law, 10% shareholders of MFC have to file reports
to the Ontario Securities Commission ("OSC"). Reports made by 10%
shareholders, if any, can be found in OSC website www.sedar.com.
MFC has agreed to monitor the OSC Weekly Bulletin and Insider
Early Warning Report Press Releases every two weeks and if any
reports by or concerning 10% shareholders and filed, MFC will
provide a hard copy to the SEHK for inspection by the Hong Kong
public. So far, the SEHK has not received any such reports from
MFC.
2. Under U.S. law, 5% shareholders of MFC have to file reports to
the U.S. Securities and Exchange Commission ("SEC") pursuant to
Schedule 13G/13D of the Securities and Exchange Act 1934 of the
United States. Up-to-date reports made by 5% shareholders, if
any, can be found in SEC website at www.sec.gov. MFC has agreed
to monitor the SEC website every two weeks and if any reports on
5% shareholders are filed, MFC will provide a hard copy to the
SEHK for inspection by the Hong Kong public. So far, the SEHK
has not received any such reports from MFC.
3. Hard copies of filings or reports provided by MFC under paragraphs
1 and 2 above (if any) are available for inspection at the SEHK's
