N7 Mr. Yasumitsu Shigeta ("Mr. Shigeta") entered into a share agreement
dated 11 February 2000 ("Agreement"). On the basis of the Agreement
and a letter of undertaking dated 11 February 2000 executed by Mr.
Shigeta in favour of Pacific Century Group Holding Limited ("PCG")
containing certain provisions imposing obligations or restrictions
on Mr. Shigeta with respect to the disposal of his interests in the
Company acquired pursuant to the Agreement ("Letter"), Mr. Shigeta
was deemed to be interested in any Shares which PCG was interested
by virtue of Section 10 of the Securities (Disclosure of Interests)
Ordinance.

Mr. Shigeta and PCG had concluded a termination agreement on 26
February 2002 ("Termination Agreement") to terminate the Letter with
effect from 26 February 2002. As a result, Section 9 of the Securities
(Disclosure of Interests) Ordinance no longer applies to the Letter and
Mr. Shigeta had accordingly ceased to have any deeming interests in any
Shares which PCG is interested. For more details, please refer to the
Company's announcement of 4 March 2002.

N8 Reference was made to a letter of undertaking dated 11 February 2000
(the "Letter") given by Mr. Yasumitsu Shigeta ("Mr. Shigeta") in
favour of Pacific Century Group Holdings Limited ("PCG') containing
certain restrictions on the disposal of shares of the Company. Upon
expiry of the Letter on 26 February 2002, PCG ceases to have any
deemed interests in shares of the Company held by Mr. Shigeta under
Section 9 of the Securities (Disclosure of Interests) Ordinance.

As at 26 February 2002, PCG was interested in 103,709,434 shares in
the Company.

PCG holds the entire issued share capital of Pacific Century
International Limited ("PCIL").

PCIL holds the entire issued share capital of Pacific Century Group
(Cayman Islands) Limited ("PCG (CI)").

PCG (CI) holds the entire issued share capital of Anglang Investments
Limited ("Anglang").

Anglang and PCG (CI) hold 1,169,067,180 shares, which constitute
approximately 37.8% of the entire issued share capital of Pacific
Century Regional Developments Limited ("PCRD") and 1,160,991,050
shares, which constitute approximately 37.5% of the entire issued
share capital of PCRD respectively (an aggregate of 2,330,058,230
shares in PCRD, which constitute approximately 75.3% of the entire
issued share capital of PCRD). PCRD holds 7,597,619,517 shares in
the Company. Accordingly, PCG is interested in an aggregate of
7,701,328,951 shares in the Company. For more details, please refer
to the Company's announcement of 4 March 2002.

Accordingly, Li Tzar Kai, Richard is interested in an aggregate of
8,488,690,074 shares in the Company (held through PCG, PCRD and PCD).

SUBSTANTIAL SHAREHOLDERS' NOTIFICATIONS REPORT

The Securities and Futures Commission has granted Manulife Financial
Corporation ("MFC") a partial exemption from compliance with the
Securities (Disclosure of Interests) Ordinance pursuant to guidelines
published under section 2A of the Ordinance. Under the partial
exemption, MFC is not required to prepare registers, maintain records
or file, and MFC's corporate insiders are not required to file, with
Hong Kong regulatory authorities disclosure of interest reports
pursuant to the Ordinance on the condition that MFC will file with
the SEHK disclosures of interests made in Canada and the U.S. where
it maintains primary listings.

1. Under Canadian law, 10% shareholders of MFC have to file reports
to the Ontario Securities Commission ("OSC"). Reports made by 10%
shareholders, if any, can be found in OSC website www.sedar.com.
MFC has agreed to monitor the OSC Weekly Bulletin and Insider
Early Warning Report Press Releases every two weeks and if any
reports by or concerning 10% shareholders and filed, MFC will
provide a hard copy to the SEHK for inspection by the Hong Kong
public. So far, the SEHK has not received any such reports from
MFC.

2. Under U.S. law, 5% shareholders of MFC have to file reports to
the U.S. Securities and Exchange Commission ("SEC") pursuant to
Schedule 13G/13D of the Securities and Exchange Act 1934 of the
United States. Up-to-date reports made by 5% shareholders, if
any, can be found in SEC website at www.sec.gov. MFC has agreed
to monitor the SEC website every two weeks and if any reports on
5% shareholders are filed, MFC will provide a hard copy to the
SEHK for inspection by the Hong Kong public. So far, the SEHK
has not received any such reports from MFC.
