N1 Subsequent to the disposal of fly Jet Investments Limited ("Fly
Jet") by Questrel Holdings Limited ("Questrel") to Mr. Yeung Chun
Pong on 1st September, 1999, Questrel, a company controlled by Mr.
Yeung Sau Shing, Albert ("Mr. Albert Yeung") ceased to be interested
in the 99,499,391 shares of HK$0.10 each in Wing Lee International
Holdings Limited pledged by Peak Performance Holdings Limited to
Prime Asset International Limited ("Prime Asset"), a wholly-owned
subsidiary of Fly Jet. However, Mr. Albert Yeung is still deemed
to be interested in the 51,810,000 shares held by Flight Profits
Limited.
N2 Subsequent to the disposal of Fly Jet Investments Limited ("Fly
Jet") by Questrel Holdings Limited ("Questrel") to Mr. Yeung Chun
Pong on 1st September, 1999, Questrel ceased to be interested in
the 99,499,391 shares of HK$0.10 each in Wing Lee International
Holdings Limited pledged by Peak Performance Holdings Limited to
Prime Asset International Limited ("Prime Asset"), a wholly-owned
subsidiary of Fly Jet. However, Questrel is still deemed to be
interested in the 51,810,000 shares held by Flight Profits Limited.
N3 Pursuant to the Deed of Mortgage and Assignment of Securities dated
11th December, 1998 entered into between Peak Performance Holdings
Limited ("Peak Performance") as chargor and Prime Asset
International Limited ("Prime Asset") as lender, a total of
99,499,391 shares of HK$0.10 each in the capital of Wing Lee
International Holdings Limited ("Wing Lee") have been pledged by
Peak Performance to Prime Asset. Prime Asset is a wholly-owned
subsidiary of Fly Jet Investments Limited ("Fly Jet") as at
1st September, 1999. Fly Jet was previously wholly-owned by Questrel
Holdings Limited ("Questrel"), a company controlled by Mr. Yeung Sau
Shing, Albert ("Mr. Albert Yeung"). Questrel's interest in Fly Jet
was disposed of to Mr. Yeung Chun Pong on 1st September, 1999.
Accordingly, Questrel and Mr. Albert Yeung ceased to be interested
while Mr. Yeung Chun Pong was deemed to be interested in the
99,499,391 shares of Wing Lee pledged by Peak Performance. A
further 16,216 shares was acquired by Peak Performance and pledged
to Prime Asset on 6th September, 1999.
N4 Disposals were made from 19/08/99 to 26/08/99 at prices ranging from
$0.1354 to $0.140 per share.
N5 Interest in the shares and convertible bonds was transferred to a
family trust.
N6 Acquisitions were made from 30/08/99 to 31/08/99 at prices ranging
from $1.87 to $1.96 per share.
N7 Acquisitions were made from 31/08/99 to 03/09/99 at prices ranging
from $0.345 to $0.36 per share.
