N1 Last November First Bangkok City Bank Public Co. Ltd. ("FBCB")
disclosed its interest in the mortgaged shares in Chinney Alliance
Group Limited (formerly known as Dharmala Holdings Limited)
("CAGL"). FBCB merged with Krung Thai Bank ("KTB") and transferred,
inter alia, all its interest in CAGL to KTB on 1 November last year.
N2 Paul Y. - ITC Construction Holdings Limited has become an associated
corporation of the Company since 31 August 1999.
N3 The disclosed disposition and simultaneous acquisition of 44,022,000
ordinary shares of CITIC Pacific Limited on 30/08/99 was effected
in the course of an internal corporate re-organisation between two
associated companies of which Mr. Desmarais is an officer and
director.
N4 Acquisitions were made on 31/08/99 and 02/09/99 at prices ranging
from $0.41 to $0.435 per share.
N5 Total consideration : HK$2,029,424.66
N6 Disposals were made from 16/08/99 to 24/08/99 at prices ranging from
$0.06 to $0.065 per share.
N7 Mr. Siegfried Lee were notified on 28 August 1999 and 1 September
1999 respectively that the Bank had disposed a total of 58,132,000
shares in the Company on behalf of Mr. Lee from 16 August 1999 to
24 August 1999. A total of 500 million shares, including the shares,
were charged with the Bank by Mr. Lee on 15 April 1996 for securing
a loan facility granted to a subsidiary of the Company.
N8 Such Notes are held by a company which Mr. Victor Li is entitled to
control one-third or more of the voting rights at its general
