N1 Rights Issue
N2 Pursuant to the exercise of the over-allotment option by Jardine
Fleming Securities Limited on behalf of the Placing Underwriters
(as defined in the placing and underwriting agreement dated
21 June 1999 ("Underwriting Agreement") entered into by Pacific
Century Insurance Holdings Limited (the "Company") and others),
Pacific Century Regional Developments Limited, being one of the
Vendors (as defined in the Underwriting Agreement), had on
22 July 1999 sold 2,341,750 shares in the Company held by it
at HK$6.28 per share to cover over-allocations in Placing (as
defined in the Underwriting Agreement).
N3 Our notifiable interest changes as a result of the rights issue
of Tung Fong Hung (Holdings) Limited under which Multiple Wealth
International Limited, a wholly-owned subsidiary of Hanny Holdings
Limited, subscribed 52,800,000 rights shares of Tung Fong Hung
(Holdings) Limited on 21 July 1999.
N4 Consideration per unit : $0.140 - $0.146
N5 With new warrants in the proportion of two new warrants for every
five rights shares taken up.
N6 Disposals were made from 22/07/99 to 23/07/99 at prices ranging
from $0.011 to $0.014 per unit.
N7 Pursuant to the exercise of the over-allotment option by Jardine
Fleming Securities Limited on behalf of the Placing Underwriters

Agreement).
N8 Pursuant to the exercise of the over-allotment option by Jardine

over-allocations in Placing (as defined in the Underwriting
Agreement).
N9 Acquisitions were made from 20/07/99 to 22/07/99 at prices ranging
from $0.365 to $0.375 per share.
