N1 IGB Corporation Berhad, through its wholly-owned subsidiary
Intercontinental Aviation Service Sdn Bhd, owns 35,854,000
shares in Lee Hing Development Ltd. I have ceased to be
deemed interested in IGB Corporation Berhad and as a
result, ceased to have deemed interest in the 35,854,000
shares owned by IGB Corporation Berhad.
N2 Pursuant to the Subscription Agreement dated 7 October 1997
entered into between China Strategic Holdings Limited
("CSH") and South Sea Development Company Limited ("South
Sea"), CSH agreed to subscribe for 15,000,000 shares of
HK$0.50 each in the capital of South Sea at HK$0.95 per
share. Completion of the subscription took place on 20
October 1997. A total of 15,000,000 shares were then
issued to See Ying Limited ("See Ying"), a wholly-owned
subsidiary of CSH, by South Sea on 20 October 1997.
On 1 June 1999, Strawberg Limited, a wholly-owned
subsidiary of CSH Limited, converted the convertible note
dated 22 November 1996 in the total principal amount of
HK$137,420,000 and interest accrued thereon up to
HK$24,777,709 into ordinary shares of HK$0.50 each of South
Sea at a conversion price of HK$0.50 per share. A total of
324,395,418 shares were issued to See Ying on 1 June 1999
pursuant to the Notice.
N3 A total of 15,000,000 shares were held by See Ying Limited
("See Ying"), a wholly-owned subsidiary of CSH.
On 1 June 1999, Strawberg Limited, a wholly-owned
subsidiary of CSH, converted the convertible note dated 22
