NOTES:


N1     Disposals were made from 07/05/99 to 10/05/99 at prices
       ranging from $0.037 to $0.043 per share.

N2     Mr. Siegfried Lee were informed by The Hongkong and
       Shanghai Banking Corporation Limited (the "Bank") on 10th
       and 12th May, 1999 respectively that the Bank had disposed
       11,994,000 shares in the Company on behalf of Mr. Lee. 
       Pursuant to a facility letter dated 25 March 1996 entered
       between NHD Systems (Holdings) Limited, a subsidiary of the
       Company and the Bank, the said shares and the remaining
       138,006,000 shares (totally 150,000,000 shares) were
       charged with the Bank for securing a loan granted to the
       said company.

N3     Consideration per unit : $0.92 - $0.95

N4     Conversion of 1,350,000 NCCPS into ordinary shares.

N5     Initial disclosure on appointment as a director of Hong
       Kong Telecom with effect from 7 May 1999.

N6     Acquisitions were made from 11/05/99 to 14/05/99 at prices
       ranging from $1.98 to $2.05 per share.

N7     These 18,000 shares were held by Primeluck Enterprises
       Limited, a company 100% owned by To Hin Tsun Gerald ("Mr.
       To").  Mr. To disposed of the entire shareholding in
       Primeluck Enterprises Limited on 5 May 1999 and therefore
       ceased to have interests in these 18,000 shares.
